As the most successful second board market in the world, Nasdaq has many advantages for us to study. This paper firstly introduces the general situation of U.S. Nasdaq market and chinext, and then makes a through comparison between the two markets in four major aspects: listing requirements, industry organization, trading mechanism, investment structure. Based on the comparison, this paper puts forward reasonable proposal to develop Chinext, such as listing requirements, industry organization, trading mechanism, supervision mechanism. This paper seeks to find out the experience and lessons that Chinext can learn from Nasdaq so that it can avoid making unnecessary mistakes and develop healthily.
