Abstract: Board of directors is the core of corporate governance; the board institution is the basis for the modern enterprise system. Regarding the board of current state-owned enterprises, there exists some problems that independence is not strong, decision-making is not standardized, and supervision is lack of effectiveness. According to the theory of corporate governance structure, this paper is based on an innovative analysis about functions related the board of directors, including decision-making function, monitoring function, executive function, and proposed function, and it has designed function institution of the board of directors. Meanwhile this study also has raised roles of the board of directors, including strategy, investment and financing roles, nomination, remuneration, auditing and compliance roles, and it has discussed role institution of the board of directors. This article has certain reference value for state-owned enterprises to establish modern enterprise system, improve its corporate governance structure, and to achieve sustainable development.
